Terms of Use
1. ACCEPTANCE OF TERMS
By accessing, registering on, or using the Casaas Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Privacy Policy, and any other policies published by Casaas from time to time. If you do not agree with these Terms, you should not access or use the Platform.
In these Terms, unless the context requires otherwise: "Casaas," "we," "us," and "our" refer to Asharami Innovations Limited, a company incorporated in Nigeria, which owns and operates the Casaas platform; the "Platform" means the Casaas digital community management platform, including its website, mobile applications, and related software and services; the "Services" means the services made available through the Platform, as described in Section 2; "Terms" means these Terms and Conditions, as updated from time to time; and the "Privacy Policy" means Casaas' privacy policy published on the Platform.
Where you access the Platform on behalf of an Estate/Community, Residents Association, Estate Management Company, or other organization, you represent that you have authority to bind such entity to these Terms.
2. ABOUT CASAAS
Casaas is a digital community management platform that enables residents, estates, administrators, security personnel, service providers, and other authorized users to manage community-related activities through a centralized system.
Services available through the Platform may include:
1. Resident and household management
2. Visitor management and access control
3. Community communication and announcements
4. Service charge and utility payments
5. Wallet services
6. Facility booking and reservations
7. Complaint and incident management
8. Community engagement services
9. Other services introduced by Casaas from time to time
3. ELIGIBILITY
To use the Platform, you must:
1. Be at least 18 years old or have the permission of a parent or legal guardian;
2. Provide accurate and complete information;
3. Have the legal capacity to enter into binding agreements; and
4. Comply with all applicable laws and these Terms.
Casaas reserves the right to suspend or terminate any account that contains inaccurate, false, misleading, or incomplete information.
4. USER ACCOUNTS
Users may be required to create an account to access certain features of the Platform.
You are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your account.
You must immediately notify Casaas if you become aware of any unauthorized access to your account.
Casaas reserves the right to suspend, restrict, or terminate accounts that compromise the security or integrity of the Platform.
5. PAYMENTS AND WALLET SERVICES
Where payment services are available through the Platform, users may make payments for service charges, utilities, facility bookings, wallet funding, and other approved services.
Users are responsible for ensuring that all payment information provided is accurate and that sufficient funds are available to complete transactions.
Transaction fees, wallet charges, convenience fees, and other applicable charges shall be displayed before a transaction is completed.
Wallet balances do not constitute bank deposits and shall not earn interest or investment returns. Casaas is not a bank, deposit-taking institution, or licensed financial institution. Payment processing, wallet funding, and settlement services are provided by licensed third-party payment service providers and financial institutions, and Casaas shall not be liable for the acts, omissions, delays, or failures of such providers.
Casaas reserves the right to suspend, reject, reverse, delay, or investigate any transaction that appears suspicious, fraudulent, unauthorized, unlawful, erroneous, or otherwise presents a financial, operational, or regulatory risk.
Where a payment fails, is duplicated, is incorrectly processed, is reversed, is disputed, or is charged back, Casaas will take such corrective action as it reasonably considers necessary, including adjusting wallet balances, reversing transactions, withholding settlements, or processing refunds where appropriate.
Completed transactions may not be reversible except where required by law, expressly permitted by Casaas, or necessitated by fraud investigations, disputes, chargebacks, technical errors, or regulatory requirements.
Refunds, reversals, and dispute resolutions will be subject to the rules and timelines of banks, payment processors, regulators, and other third-party service providers.
Users may raise a payment or transaction dispute by contacting Casaas through the channels set out in Section 20. Casaas will acknowledge the dispute and use reasonable efforts to investigate and respond within a reasonable period, subject to the rules and timelines of the relevant banks, payment processors, and regulators.
6. VISITOR MANAGEMENT
Residents may register, invite, approve, or manage visitors through the Platform.
The community shall remain responsible for determining visitor access policies and approvals.
Casaas acts solely as a technology platform and shall not be responsible for decisions relating to visitor entry, denial of entry, security incidents, or visitor conduct.
Registration, invitation, approval, or issuance of visitor credentials through the Platform does not guarantee access to any Estate, as final access decisions remain subject to the Estate's policies and the discretion of authorized security personnel.
7. COMMUNITY RULES
Users shall use the Platform responsibly and respectfully.
Users shall not:
1. Upload false or misleading information;
2. Harass, threaten, abuse, or impersonate others;
3. Circumvent estate rules or security procedures;
4. Use the Platform for unlawful purposes;
5. Interfere with the operation of the Platform;
6. Introduce malware, viruses, or harmful software;
7. Attempt to gain unauthorized access to the Platform.
Casaas reserves the right to suspend or remove any user that violates these rules.
8. ROLE OF CASAAS AND THE ESTATE
Casaas provides technology services and digital tools designed to support estate/community administration, resident engagement, communication, visitor management, access control, payments, and other community services.
The Community, Estate, Estate Management Company, Residents Association, Facility Manager, or other authorized governing body remains solely responsible for the estate administration, resident management, visitor approvals, security operations, service charge administration, community governance, enforcement of estate rules, and all operational decisions affecting the Estate.
Casaas does not act as the manager, operator, security provider, agent, or representative of any Estate and shall not be liable for any decision, action, omission, or policy implemented by the Estate or its authorized representatives.
9. ELECTRONIC COMMUNICATIONS
By registering for or using the Platform, you consent to receiving communications electronically from Casaas, the Estate, administrators, and other authorized users.
Such communications may include account notifications, visitor alerts, payment confirmations, announcements, reminders, security notifications, service updates, marketing communications, and other messages relating to the Platform.
Communications may be delivered through email, SMS, push notifications, in-app notifications, telephone calls, or other communication channels supported by the Platform.
You are responsible for maintaining accurate contact information and ensuring that you are able to receive communications sent through the Platform.
You may opt out of marketing communications at any time using the unsubscribe mechanism provided or by contacting Casaas, without affecting service-related communications necessary for the operation of the Platform or your account.
10. PRIVACY AND DATA PROTECTION
Casaas is committed to protecting personal information and processing data in accordance with applicable data protection laws and its Privacy Policy.
Users acknowledge that information provided through the Platform may be shared with Estates, Administrators, Security Personnel, Payment Service Providers, and other authorized parties where necessary to provide services.
By using the Platform, you consent to such processing.
Casaas processes personal data in accordance with the Nigeria Data Protection Act 2023 and other applicable data protection laws. Personal data is processed on lawful bases, which may include performance of these Terms, compliance with legal obligations, the legitimate interests of Casaas and the relevant Estate or Community, and, where required, user consent. Users have the rights available under applicable data protection law, including the rights to access, correct, delete, and object to or restrict the processing of their personal data, and to lodge a complaint with the relevant data protection authority. Casaas retains personal data only for as long as necessary for the purposes for which it was collected or as required by law, and further details are set out in the Privacy Policy.
11. USER CONTENT
Users may upload, submit, store, transmit, or share information, content, photographs, documents, visitor details, incident reports, comments, communications, and other materials through the Platform.
You retain ownership of any content submitted by you. However, by submitting content through the Platform, you grant Casaas a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, display, transmit, and otherwise use such content solely for the purpose of operating, maintaining, improving, and providing the Services.
You represent and warrant that you have all necessary rights, permissions, and authority to submit such content and that such content does not violate any law or the rights of any third party.
Casaas reserves the right to remove, restrict, or disable access to any content that it reasonably believes violates these Terms, applicable law, or the rights of any person.
12. IDENTITY VERIFICATION
Casaas may require users to verify their identity, residence, contact details, ownership status, tenancy status, or other information before granting access to certain features of the Platform.
Verification may be carried out using government-issued identification documents, proof of residence, phone verification, email verification, facial verification, or any other verification method deemed appropriate by Casaas or the Estate. Where verification involves biometric data, including facial verification, Casaas will obtain the user's explicit consent and will process such data in accordance with the Nigeria Data Protection Act 2023 and the Privacy Policy, retaining it only for as long as necessary for the verification purpose.
Failure to provide requested verification information may result in restricted access to certain Platform features or suspension of access to the Platform.
13. INTELLECTUAL PROPERTY
All intellectual property rights in the Platform, including software, trademarks, logos, content, designs, and documentation, belong to Casaas or its licensors.
Users are granted a limited, non-exclusive, revocable license to access and use the Platform solely for its intended purpose.
No user may copy, modify, distribute, reverse engineer, or commercially exploit any part of the Platform without prior written consent.
14. AVAILABILITY OF SERVICES
Casaas shall use reasonable efforts to maintain Platform availability but does not guarantee uninterrupted or error-free operation. To the maximum extent permitted by applicable law, the Platform and all related services, content, and materials are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, or non-infringement, and Casaas does not warrant that the Platform will be secure, error-free, or free of viruses or other harmful components.
The Platform may be unavailable from time to time due to maintenance, upgrades, security updates, technical failures, internet outages, or events beyond Casaas' control.
The Platform is not intended to be used as an emergency response, safety monitoring, or life-critical system, and users should not rely on the Platform as their sole means of communication during emergencies.
15. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Casaas shall not be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages arising from or relating to the use of or inability to use the Platform. To the maximum extent permitted by applicable law, Casaas' total aggregate liability arising out of or relating to these Terms or the Platform, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the greater of (a) the total fees and charges paid by the relevant user to Casaas in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
Casaas shall not be responsible for:
1. Decisions made by the Community or Administrators;
2. Visitor approvals or denials;
3. Resident disputes;
4. Security incidents;
5. Third-party service failures;
6. Internet or telecommunications outages;
7. Losses resulting from unauthorized access caused by user negligence.
16. INDEMNITY
Users agree to indemnify, defend, and hold harmless Casaas, its directors, employees, affiliates, licensors, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or relating to their use or misuse of the Platform, breach of these Terms, violation of applicable laws, or infringement of the rights of any third party. Casaas reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case the relevant user shall cooperate with Casaas in asserting any available defenses. This indemnity shall survive termination of these Terms.
17.SUSPENSION AND TERMINATION
Casaas may suspend or terminate access to the Platform where a user breaches these Terms, engages in unlawful activity, compromises Platform security, or where required by law.
Users may discontinue use of the Platform at any time.
Termination shall not affect rights and obligations accrued prior to termination.
Upon termination or suspension of an account, other than for fraud, unlawful activity, or breach of these Terms, Casaas will, subject to applicable law and the rules of the relevant payment service providers, return any remaining wallet balance to the user, net of outstanding fees, pending transactions, chargebacks, and any amounts required to be withheld, within a reasonable period.
18. CHANGES TO THE PLATFORM
Casaas may modify, update, improve, suspend, or discontinue any part of the Platform at any time.
Casaas will take reasonable steps to notify users of material changes to these Terms, including by posting the updated Terms on the Platform or by other reasonable means. Continued use of the Platform following the effective date of any update constitutes acceptance of the updated Terms; where a user does not agree to the updated Terms, the user's sole remedy is to discontinue use of the Platform.
19. GOVERNING LAW AND DISPUTE RESOLUTION
The laws of the Federal Republic of Nigeria shall govern these Terms.
Any dispute arising from these Terms shall first be resolved amicably.
Where resolution is not achieved within thirty (30) days, the dispute shall be referred to mediation and thereafter arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act, 2023.
